These WIFI Terms of Use govern your use of the wireless internet connectivity service (“Service“) provided at CambridgeSide by CambridgeSide Partners LLC or one of its affiliates (“Shopping Center“). The Service is provided free of charge.

By providing your email information and clicking “accept“ on the service sign-up page, you represent that:

1. You have read, understand and agree to these terms and the privacy policy; and
2. You are at least 18 years of age.

If you are not at least 18 years of age, you are not authorized to use the service.

If you do not want us, our service providers, and advertisers to collect or use any information regarding you or your internet usage, do not use our wifi service.

You will be asked to register and agree to the then current Terms the first time you access the Service and again after expiration of 30 days from each date you register. To access the Service, you must “Accept“ our Terms each time you register for the Service.

Service and Internet Availability

Service locations may not be available in all areas of the Shopping Center. Service coverage, speeds, availability by location and quality may vary. Service is subject to unavailability, including emergencies, third party service failures, transmission, equipment or network problems or limitations, interference, signal strength, and maintenance and repair. Shopping Center is not responsible for data, messages or pages lost, not delivered, delayed or misdirected for any reason or damage to your device from using the Service. Shopping Center may impose usage or Service limits, suspend Service, or block certain kinds of usage in its sole discretion for any or no reason. Shopping Center may interrupt, refuse, or terminate your use of the Service at any time for any or no reason.

The privacy of your communications and use of the Service cannot be guaranteed. We are not liable to you or any other party for any lack of privacy you experience while using the Service. You agree that Shopping Center is not liable for any action or inaction with respect to any content accessible through the Service.

Shopping Center does not screen or restrict access to any content accessible through the Service and does not screen or restrict communications between parties via the Service, but we reserve the right to do so. Shopping Center has the right but not the obligation to monitor, intercept and disclose any transmissions over or using our facilities and to provide account or use records and related information under certain circumstances (for example, in response to lawful process, orders, subpoenas, or warrants, or other information, in good faith reliance on legal process, if required by law or to protect our rights, business, network, customers or property). You agree that Shopping Center may disclose your communications and activities using the Service in response to lawful requests by governmental authorities, including Patriot Act requests, and judicial orders. We may remove, block, filter or restrict by any means materials that, in our sole discretion, may be illegal, may subject Shopping Center to liability or may violate law or these Terms. You bear all risk and consequences for (1) the accuracy, completeness, reliability and/or usefulness of any content accessed through the Service and (2) all communications that you send or receive via the Service.

Your Responsibilities

You must connect to the Service through your own device and comply with all local, state, federal and international laws and regulations. You agree not to resell or attempt to resell any aspect of the Service.

You agree not to transmit any material (by uploading, posting, email or otherwise) that (1) is unlawful, threatening, abusive, harassing, tortious, defamatory, obscene, libelous, invasive of another"s privacy, hateful or racially, ethnically or otherwise objectionable; (2) you do not have a right to make available (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non disclosure agreements); (3) infringes any intellectual property or other proprietary rights of any party; (4) is unsolicited or unauthorized advertising, promotional materials, “junk mail,“ “spam,“ “chain letters,“ “pyramid schemes“ or any other form of solicitation; or (5) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. Further, you agree not to: (a) harm, or attempt to harm, minors in any way; (b) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted through the Service; (c) interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; (d) “stalk“ or otherwise harass another; or collect or store, or attempt to collect or store, personal data about third parties without their knowledge or consent; or (e) use the Service for high volume data transfers, especially sustained high volume data transfers, hosting a web server, IRC server, or any other server.

Modifications

Shopping Center may, at its sole discretion, modify these Terms at any time. By continuing to use the Service after such postings, you agree to all such modifications.

Indemnification

You shall defend, indemnify and hold Shopping Center and its corporate affiliates and their respective officers, directors, stockholders, employees, contractors, agents, successors and assigns harmless from and against, and shall promptly reimburse them for, any and all losses, claims, damages, settlements, costs, and liabilities of any nature whatsoever (including reasonable attorneys" fees) to which any of them may become subject arising out of, based upon, as a result of, or in any way connected with, your use of the Service or any breach of these Terms and Conditions. Shopping Center may participate in the defense of any claim or action at your expense and any negotiations for settlement. Shopping Center reserves the right, on notice to you, to assume exclusive defense and control of any claim or action subject to indemnification by you, without relieving you of your indemnification obligations hereunder.

No Warranty

Your access to and use of the service is at your sole risk. you are entirely liable for your activities. to the maximum extent allowed by law, the service is provided on an “as is“ and “as available“ basis, without warranties of any kind. shopping center does not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. shopping center makes no express or implied warranties including, but not limited to, warranties of title, non infringement, merchantability, and fitness for a particular purpose regarding any merchandise, information or service provided through shopping center, the service, or the internet generally. you expressly acknowledge that there are, and you assume all responsibility related to, security, privacy and confidentiality risks inherent in wireless communications and technology and shopping center does not make any assurances or warranties relating to such risks.

Where applicable law does not allow the exclusion of implied warranties, some of the foregoing exclusions may not apply to you. In such an event, the disclaimers and exclusions set forth above will not apply to the extent prohibited by law.

Limitation of Liability

Shopping center shall not be liable under any legal theory for any damages suffered in connection with use of the service, including but not limited to any lost profits, lost savings, or incidental, direct, or consequential damages, whether resulting from impaired or lost data, software or device failure or any other cause, by you or any other third party, even if shopping center has been advised of the possibility of such damage or loss. you hereby expressly release shopping center from any and all liability or responsibility for any damage caused, directly or indirectly, to you or any third party as a result of the service or the content available through the service including anything downloaded or accessed. shopping center is not responsible for any damage to your device or other hardware, software, or other property resulting in any way from your use of the service. if you are a california resident, you waive california civil code §1542, which says: a general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his settlement with the debtor.

To the extent permitted by law, our aggregate liability arising out of or in connection with this agreement will not exceed $100. you acknowledge that without the limitations contained herein, shopping center would not be able to provide the service.

Some jurisdictions do not allow the limitation of incidental, consequential or other damages. In such an event, the limitations set forth above will not apply to the extent prohibited by law.

Governing Law And Forum

Your use of the Service, these Terms, and all disputes relating to the Service, are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to its conflict of laws rules. You irrevocably consent and submit to the exclusive jurisdiction and venue of the State or Federal Courts located in Suffolk County, Commonwealth of Massachusetts. You waive and agree not to assert that you are not subject to the jurisdiction of the above-named courts or that any proceeding brought outside of the above-named courts is an inconvenient forum or that venue of any such dispute is improper. If we do not enforce our rights under any of the provisions herein, we may still require strict compliance in the future. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. if for any reason a claim proceeds in court, we each waive any right to a jury trial.

This Policy may be supplemented from time to time by individual “privacy notices“ applicable to certain sub-pages of the Site or to our other Services. These Privacy Notices will be posted where applicable and provide a level of detail that we cannot provide in this more general description of our privacy practices. Types of Information We Collect

Information You Manually Provide. Shopping Center collects the information you manually provide when you use any of the Services. For example, we collect the information you submit when you register with this Site, register for use of our WiFi, participate in a contest, sign up for our newsletters, comment on a news item, or contact us with questions. Some of the information you manually provide may be Personal Information, such as your name and contact information.

Information From Third-Party Social Media Platforms. You may be able to register with, log on to, or enhance your profile on this Site by choosing to automatically populate the requested data fields with information you previously provided to a third-party social media platform (such as Facebook or Twitter). By doing this, you are asking the third-party platform to send us information, including personal information, from your profile on that platform. We treat that information as we do any other information you give to us when you register, log on, or enhance your profile.

Information Sent to Us by Your Web Browser. We collect information that is sent to us automatically by your web browser or mobile device. This information typically includes your IP address, the identity of your Internet service provider, the name and version of your operating system, the name and version of your browser, the date and time of your visit, and the pages you visit. The information we receive may depend on your browser or device settings.

How We Share Your Personal Information With Others

Placewise LLC (Placewise). Placewise powers this Site and manages the Personal Information we collect through this Site. As such, Placewise helps us with our promotional efforts and conducts surveys related both to this Site and your shopping experiences at Bridgeport Village, among other activities. In addition, we allow Placewise to use your Personal Information for its own marketing purposes. In particular, Placewise operates the Placewise Network, which is a network of various shopping centers for which Placewise powers websites. Placewise may use the Personal Information you submit on or through this Site to contact you about other malls that we own.

Other Third-Party Vendors. We may share information collected through our Services with other third-party vendors who act for or on behalf of Shopping Center. These third-party vendors may need information about you to perform their functions. However, they are bound by law or contract to protect your Personal Information and, unlike Placewise, are only allowed to use the Personal Information to perform services on our behalf.

Other Users of this Site. You may be able to submit or transmit User-Generated Content (“UGC“) or Feedback on or through any of our Services. Any Personal Information contained in UGC can be read, collected, or used by others. Any Personal Information that you submit with Feedback will be subject to this Policy. In addition, we may use UGC or Feedback you submit or transmit for advertising campaigns and other promotions, without further notice or compensation to you. We may or may not use your name in connection with such use, and we may or may not seek your consent before using the content for such purposes.
